MOTION TO APPROVE Second Amendment to the Software License and Maintenance Agreement between Broward County and Amadeus IT Group SA (formerly Air-Transport IT Services, Inc.), to increase Optional Services in the amount of $2,500,000 to allow for purchases of additional hardware and software and additional related services for the Airport Information Management System and the Virtual Ramp Control System at Broward County’s Fort Lauderdale Hollywood International Airport, with no change to the Agreement term; and for the Mayor and Clerk to execute same.

In accordance with the Broward County Procurement Code, Section 21.94.a, the Broward County Board of County Commissioners ("Board") must approve changes to the contract over the award authority of the Director of Purchasing.

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action will approve the Second Amendment to increase Optional Services under the Software License and Maintenance Agreement to allow for purchases of additional hardware and software and additional related services for the Airport Information Management System and the Virtual Ramp Control System at FLL.

The Office of Economic and Small Business Development ("OESBD") established a County Business Enterprise ("CBE") goal of 16% for this project. The Prime committed to a 16% CBE participation rate. To date, the Prime has been paid $5,057,762 and has paid its subcontractor $863,922, or a 17.08% participation rate (Exhibit 3).

On December 1, 2009 (Item No. 58, Motion B), the Board approved a Software License and Maintenance Agreement ("License Agreement") with Amadeus IT Group SA (formerly Air-Transport IT Services, Inc.), which included an Airport Information Management System ("AIMS") and its maintenance. The AIMS system includes an airport-wide deployment of the Airport Operational Database, the Resource Management System, and the Electronic Video Display System components.

The AIMS system is comprised of hardware and software components that include an airport-wide deployment of flight information display monitors which are supplied real-time information from the Airport Operational Database. This database allows the airport to store, update, retrieve and integrate flight information and disperse that real-time data into other integrated systems. This includes the common use system which allows the shared use of ticket counters and gates by multiple airlines, providing the airport flexibility in resource allocation. Additionally, the Resource Management System interfaces with the Airport Operational Database and allows airport gate scheduling through the use of flight tracking and utilization data in order to support the efficient allocation of airport fixed resources.

On April 3, 2012, the Director of Purchasing approved the First Amendment to the License Agreement, which provided a Virtual Ramp Control ("VRC") system that integrated with the existing AIMS System at FLL, in order to remotely track the movement and positioning of aircraft on the ground and providing direct integration with the existing Airport Operational Database.

The License Agreement provides for AIMS Maintenance Services for 15 months after Critical Cut-Over, and then for up to nine additional years. As Critical Cut-Over occurred on April 1, 2011, the License Agreement provides maintenance services up to and including June 30, 2021. The License Agreement further provides for VRC maintenance services on an annual basis for the same time period as the AIMS maintenance services

The proposed Second Amendment provides for the purchase and installation of additional hardware and software and related services for the upcoming expansion of the AIMS and VRC systems at FLL. Also, the Second Amendment allows the airport to purchase additional hardware to support the common use environment including kiosks, printers, gate readers and mobile carts. The amendment will allow the airport to procure additional cameras for virtual ramp control and queue measuring of passenger flow. There are also additional software modules available to enhance the functionality of the system including recently developed mobile applications for common use. The Broward County Aviation Department will also be installing Voice over IP phones ("VoIP") at the common use gates and ticket counters. Amadeus will provide 20/7 technical support services for all of the VoIP phones.

The increase for Optional Services in the amount of $2,500,000 will be added to the original amount of $500,000 (of which $499,000 has been authorized to date) for a new total of $3,000,000.  

The proposed Second Amendment has been reviewed and approved by the Office of the County Attorney.
