MOTION TO APPROVE First Amendment to the deliberately phased Agreement between Broward County and Atkins North America, Inc. for Capital Projects Manager Services, Request for Proposal (RFP) No. R1351804P1, for the Port Everglades Department, in the total not-to-exceed amount of $2,910,265, which includes reimbursables in the not-to-exceed amount of $296,740, for an amended contract value not to exceed $5,833,765, for the remaining six-year term of the Agreement; and authorize the Mayor and Clerk to execute same.

Summary Explanation/Background
THE PORT EVERGLADES DEPARTMENT RECOMMENDS APPROVAL.

The Office of Economic and Small Business Development (OESBD) established a County Business Enterprise (CBE) participation goal of 25% for this Agreement. Atkins North America, Inc. has committed to 27% CBE participation, which has been reviewed and approved by OESBD. As part of the negotiations for the First Amendment, Atkins North America, Inc. has agreed to continue with the same subconsultants and the total CBE goal of 27%. To date, Atkins North America, Inc. has achieved an 18.61% participation rate, and has provided a CBE utilization forecast to OESBD to meet its CBE commitment (see Exhibit 3).

This First Amendment to the deliberately phased Agreement will continue to provide for Capital Projects Management (CPM) support to the Port Everglades Department staff for daily activities related to projects within the Marine Infrastructure Program (MIP). The MIP consists of projects at Port Everglades including the Southport Turning Notch Expansion, Southport Crane Infrastructure Improvements, Slip 2 Extension, Slip 1 Expansion, Cruise Terminal 25 Expansion, Northport - Cruise Terminal 2 & 4 Parking Deck, Southport Container Terminal Phases IX-A & IX-B, Southport Berths 31/32 Toewall, Port Everglades Navigation Improvements Project, Portwide Bulkhead Replacement Program, as well as other marine infrastructure programs identified in the Port’s Capital Improvement Program.

Typical duties of the CPM include providing staff with assistance in procurement functions, agenda preparation, review of design services, cost estimates, scheduling, preconstruction services, construction administration services, document control services, site visits, review and approval of record drawings, and review and approval of pay applications for earned value and contract compliance as well as other capital project management duties. Members of the CPM team do not have any active consulting agreements within the MIP or Port Everglades, and the team fully complies with the conflict provisions of the Agreement.

On January 5, 2016 (Item No. 26), the Board approved the Request for Proposals (RFP) No. R1351804P1, Capital Projects Manager Services. Two firms submitted proposals in response to the RFP. On April 11, 2016, a Combination Initial and Final Evaluation meeting was held. The Evaluation Committee determined that both proposing firms were responsive and responsible to the requirements of the RFP. After evaluation and scoring, the Evaluation Committee (EC) named Atkins North America, Inc. as the first-ranked firm. On May 3, 2016 (Item No. 20), the Board approved the final ranking of the qualified firms and authorized staff to proceed with negotiations. On June 7, 2016 (Item No. 56), the Board approved the initial deliberately phased agreement in the maximum not to exceed amount of $2,923,500. 

One Sunshined Meeting was held on April 21, 2017 to negotiate this First Amendment to the Agreement. This meeting was attended by representatives of Atkins North America, Inc., and staff from the Port Everglades Department.

This Amendment was negotiated for the CPM to provide services beginning with the start of the second contract year commencing June 7, 2017, however, it is staff's intent to amend the Agreement on a recurring basis to provide sufficient funding for CPM support for the projects included within the MIP. The agreement was negotiated for Atkins to provide up to 12 full time field staff positions to perform capital project management, document control, project accounting, and other administrative duties to be located at the Port offices for the upcoming contract year. Atkins is presently providing seven full time staff, with the additional five positions to be phased in as the upcoming larger capital projects begin construction over the next year. In addition, budget was allocated for on-call home office staff to perform such duties as scheduling, cost estimating, and other short term assignments. The labor component of the amendment was negotiated at a not-to-exceed amount of $2,613,525 with additional reimbursable expenses in a not-to-exceed amount of $296,740 for a total amendment not to exceed amount of $2,910,265 and a total contract value not to exceed $ 5,833,765. 

The Amendment has been reviewed by the Port Everglades Risk Manager and approved as to form by the Office of the County Attorney.
