MOTION TO APPROVE Terminal Building Lease Agreement between Broward County, Florida, and Intercruises Shoreside & Port Services, Inc. for the lease and use of 66 square feet of Counter Space in Terminal 1, Arrival Level, at Broward County's Fort Lauderdale-Hollywood International Airport, effective May 22, 2018, and terminating on May 21, 2023; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
Chapter 2, Section 2-40(a) of the Broward County Code of Ordinances requires that the Broward County Board of County Commissioners ("Board") authorize any commercial activities or occupation of any portion of Broward County's Fort Lauderdale-Hollywood International Airport ("FLL").
What Action Accomplishes
Provides for Intercruises Shoreside & Port Services, Inc. ("Intercruises") to lease space in Terminal 1, Arrival Level, in accordance with the provisions of the Terminal Building Lease Agreement between Broward County and Intercruises ("TBLA") and establishes the payment of rent for the leased space.

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action provides for the approval of a TBLA with Intercruises to permit the use of a portion of the Airport for lease and use.

On May 11, 2017, the CEO/Director of Aviation approved a Short Term Lease Agreement between Broward County and Intercruises, effective on May 22, 2017, and terminating on May 21, 2018. Intercruises is a company organized and existing under the laws of the State of Florida. Intercruises is a cruise line passengers meter and greeter company operating at FLL.

The proposed TBLA allows Intercruises to lease 66 square feet of Counter Space (Type 2), in Terminal 1, Arrival level. The TBLA shall commence on May 22, 2018 and shall terminate five years thereafter on May 21, 2023. The TBLA may be terminated at any time by the Board, the CEO/Director of Aviation or Intercruises with or without cause, upon 30 calendar days prior written notice to the other party. Intercruises has posted a security deposit in the amount of $3,417, which is based on the estimated amount of three months' rent.

The amount referenced in this agenda has been rounded to the nearest whole dollar. Intercruises' payments will be based on the actual amount payable under the proposed TBLA. The Agreement Summary Sheet reflects the estimated amount payable.

The proposed TBLA has been reviewed and approved as to form by the Office of the County Attorney and the Risk Management Division.

Fiscal Impact/Cost Summary:
The estimated annual rent from the TBLA is $13,668 ($1,139 monthly) and may be adjusted according to the rates established in Chapter 39 of the Broward County Administrative Code.
