MOTION TO APPROVE Agreement between Broward County and Keolis Transit America, Inc. (Keolis) for Airport Shuttle Bus and Other Transportation Services at the Fort Lauderdale-Hollywood International Airport (FLL); for a five-year term commencing 30 days after the execution of the Agreement, for an estimated annual amount of $9,822,899 which includes an estimated $8,458,163 for first year in-service bus hours and an annual management fee of $1,364,736, for an estimated five-year total of $49,114,495; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
In accordance with the Broward County Procurement Code, Section 21.31.b.2, the Board is required to approve all agreements for general services exceeding $400,000.
What Action Accomplishes
Approves the Agreement with Keolis Transit America, Inc. to provide shuttle bus and other transportation services transporting the public and employees between parking garages and lots, the rental car center and terminal facilities.

Summary Explanation/ Background
THE PURCHASING DIVISION AND THE AVIATION DEPARTMENT RECOMMEND APPROVAL OF THE ABOVE MOTION.

The Office of Economic and Small Business Development and the Aviation Department, Airport Operations Division established an Airport Concession Enterprise (ACDBE) goal of 15% for this project. Keolis agreed to meet the ACDBE participation requirements which has been reviewed and approved by the Office of Economic and Small Business Development (Exhibit 3).

The Agreement provides for Keolis Transit America, Inc. (Keolis) to provide shuttle bus and other transportation services for the Fort Lauderdale-Hollywood International Airport. This service agreement establishes a fixed annual management fee and burdened hourly in-service bus hour rates by vehicle type. The number of in-service bus hours by vehicle type is determined by the actual passenger demand and frequency of service in consultation with Keolis and authorized by the Aviation Department. The annual funding amount for in-service bus hours is authorized by the County through the annual budget process. The service includes the transportation of the public and employees between the Rental Car Center, parking facilities and the terminals. In addition this agreement provides for other transportation requirements including tours, responses to airport emergencies and other special transportation needs of the Aviation Department.

The in-service bus hour rates currently include fuel for the shuttle bus operation. In recognition of the Aviation Department’s intent to provide fuel in the future to avail the County of cost savings and exemptions from state fuel taxes, staff negotiated a discounted management fee over the term of the Agreement totaling a potential savings of $139,260. If the Aviation Department does not assume the cost of fuel by the end of the third year the management fee will revert to $1,392,588 for the final two years of the Agreement. At such time that the Aviation Department assumes the cost of fuel, the burdened in-service hourly bus rates will be renegotiated to reflect the change.

On June 11, 2013 (Item No. 47), the Board of County Commissioners approved the Request for Proposals (RFP) No. R1122905P1, for Airport Shuttle Bus and Other Transportation Services at the Fort Lauderdale-Hollywood International Airport. Seven firms submitted proposals in response to the RFP.

On October 2, 2013 the first Evaluation Committee Meeting was held. The Evaluation Committee found one firm unresponsive to the RFP.

On October 31, 2013 a Final Evaluation Committee meeting was held. After presentations, evaluation and scoring, the Evaluation Committee named Limousines of South Florida, Inc. (LSF) as the highest scored and first-ranked firm.
 
On November 15, 2013, LSF requested the County's Consent to Assignment of the existing LSF Agreement for shuttle bus services at the Airport to Keolis, which was the parent company of LSF. This Assignment was requested to allow Keolis to separate the Airport shuttle bus services contract from LSF’s community bus contracts.

On December 19, 2013, the Director of the Aviation Department executed the Assignment after completion of due diligence by staff, in coordination with the Purchasing Division. The Assignment of the existing Agreement to Keolis and subsequent sale of LSF to Transportation America by Keolis required an additional review by the Purchasing Division to ensure the resulting Keolis assumption of the LSF proposal in response to the RFP was in order, and the Evaluation Committee was to be reconvened to review the new information.

On January 16, 2014 the Evaluation Committee was reconvened to be briefed on the Consent to Assignment and review an updated submittal to the RFP in which all required documentation, including letters of intent, were revised to reflect Keolis Transit America, Inc.

On February 11, 2014 (Item No. 24), the Board of County Commissioners approved the final ranking by the Evaluation Committee.

One Sunshine meeting was held to negotiate this Agreement on March 6, 2014. This meeting was attended by representatives of Keolis, the County Attorney’s Office, the Office of Economic and Small Business Development, the Risk Management Division, the Purchasing Division, and the Aviation Department.

Fiscal Impact/Cost Summary:
The estimated annual cost of the proposed Agreement is $9,822,899 which includes $8,458,163 for first year in-service bus hours and an annual management fee of $1,364,736 for an estimated total of $49,114,495 over the five-year term. Annual funding will be provided by Aviation Department Fund No: 4010-400-5140-3449 and Fund No. 4010-400-5141-3449.
