Requested Action
MOTION TO APPROVE Fourth Amendment to the Agreement between Broward County and CARL Systems, Inc., for Integrated Library Computer System, to extend the agreement for one year through May 31, 2020, with an option to extend for two six-month periods thereafter to be exercised by the Director of Purchasing, in an amount not to exceed $639,536, for continued service, support and maintenance of the CARL library system utilized throughout the Libraries Division; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
In accordance with Broward County Procurement Code, Section 21.31.a.4, the Board shall approve all awards greater than the award authority of the Director of Purchasing, and in accordance with Broward County Procurement Code, Section 21.43, agreements that exceed five years require Board approval.
What Action Accomplishes
Extends the agreement with CARL Corporation, d/b/a TLC-CARL Corporation to continue to provide service, support, and maintenance of the existing Integrated Library System (ILS) while the Libraries Division transitions to a new competitively procured next generation library system.

Summary Explanation/Background
THE LIBRARIES DIVISION AND ENTERPRISE TECHNOLOGY SERVICES REQUEST APPROVAL OF THE ABOVE MOTION.

This action supports the Commission's Value to cultivate community culture, arts, recreation and life-long learning and the Goal to enhance funding for the Libraries Division programs and various life-long-learning opportunities for our residents and visitors.

On June 15, 1993 (Item No. 10), the Board of County Commissioners awarded a contract to CARL Systems, Inc. for an ILS for the Libraries Division for $2.4 million dollars. The Board approved the First Amendment to this agreement on October 3, 1995 (Item No. 20) and the Second Amendment on May 24, 2011 (Item No. 22). On April 5, 2016 (Item No. 36), the Board authorized the Director of Purchasing Division to execute a Third Amendment for the ILS services that extended the term of the agreement through May 31, 2019.

CARL Corporation is a wholly owned subsidiary of The Library Corporation (TLC). TLC is the developer and exclusive provider of the CARL.X ILS system and does not contract with any other entity to resell or distribute its ILS system.

The procurement process for a new next generation ILS vendor is complete. The new agreement will be presented to the Board in May 7, 2019.

The Fourth Amendment will provide County one additional year of services and support and maintenance through May 31, 2020, and will allow for the Libraries Division to continue providing services while implementing, testing, and training staff on the new system. The County may exercise up to two additional six month extensions in the unlikely event that the new ILS system is not ready to go-live in May 2020.

The ILS gives users remote access to the library catalog for browsing, conducting research, and borrowing electronic books. The ILS also gives staff the ability to manage customer accounts, send out overdue notices, collect fines, and order books.

The Fourth Amendment was reviewed and approved as to form by the County Attorney’s Office.
