MOTION TO APPROVE Second Amendment to the Agreement between Broward County and Kimley-Horn and Associates, Inc., Agreement No. R1083508R1 to provide Consultant Services for Professional Services for the Rehabilitation of the North Airfield Pavements and Engineered Material Arresting System Beds at Broward County's Fort Lauderdale-Hollywood International Airport, to add an additional one-year renewal term, to increase the budget by an additional amount of $1,813,748 increasing the total Agreement amount from $3,936,252 to $5,750,000; and authorize the Mayor and Clerk to execute.

What Action Accomplishes
Amends the Agreement between Broward County (“County”) and Kimley-Horn and Associates, Inc. (“Kimley-Horn”), to provide Consultant Services for Professional Services for the Rehabilitation of the North Airfield Pavements and Engineered Material Arresting System Beds (“Rehabilitation Project”) at Broward County’s Fort Lauderdale-Hollywood International Airport ("FLL").

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action will amend the Agreement between the County and Kimley-Horn, to provide Consultant Services for Professional Services for the Rehabilitation Project at FLL.

The Office of Economic and Small Business Development ("OESBD") established a Disadvantaged Business Enterprise ("DBE") goal of 19% for the Rehabilitation Project. Kimley-Horn committed to 20% DBE participation. To date, Kimley-Horn has been paid $292,386, for 14.97% participation. Upon the OESBD’s request, Kimley-Horn submitted a shortfall explanation and a corrective plan of action outlining the current and future utilization of the DBE subcontractors under this Agreement. Kimley-Horn confirmed that since the submittal of its last DBE Monthly Utilization Report to the OESBD, an additional payment in the amount of $70,000 was made to one of its DBE subcontractors, which will increase the level of participation to 18.56%. Kimley-Horn confirmed that the value of its committed subcontract agreements, total $556,350, and represent 22.35% of the overall project fee (Exhibit 3).

On March 17, 2015 (Item No. 20), the Board approved the award of the Agreement between the County and Kimley-Horn to provide Professional Services for the Rehabilitation Project, for a total not-to-exceed amount of $2,100,000. The awarded Contract initial term consisted of three years with two additional one-year options to terminate on March 16, 2020.

On June 5, 2018 (Item No. 4), the Board approved the First Amendment to the Agreement to increase the compensation payable to Kimley-Horn by an additional amount of $1,836,252 to address changes in the design and design phase, miscellaneous other design changes, and partial construction phase services.

The proposed Second Amendment allows Kimley-Horn to provide continued consultant services during the construction phase for Resident Project Representation and Inspection services as needed to complete the Rehabilitation Project.

The proposed Second Amendment adds an additional one-year renewal term to the Agreement, to be exercised by the Director of Purchasing by written notice of renewal to the Consultant and increase the total not-to-exceed amount by an additional amount of $1,813,748. The extension would keep the contract active until the warranty phase of the Rehabilitation Project or until March 2021.

The proposed Second Amendment has been reviewed and approved as to form by the Office of the County Attorney.
