MOTION TO APPROVE Third Amendment to the Agreement between Broward County and Waste Management, Inc. of Florida, for Trash Transfer Stations and Disposal Services in the estimated annual amount of $540,000, extending the term for one year from January 1, 2019 through December 31, 2019, with four one-year renewal periods, for a total estimated cost of $2,700,000, effective upon execution; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
Board of County Commissioners' approval is required to enter into any contract for supplies or services of more than five years in accordance with the Broward County Procurement Code, Section 21.43, and Section 21.14.d.2 requires Board of County Commissioners' approval of amendments to contracts when the total amount is greater than $500,000.
What Action Accomplishes
Continues bulk trash and yard waste drop-off program utilized by residents in the Broward Municipal Services District and municipalities that have entered into interlocal agreements with the County for these services.

Summary Explanation/Background
THE PUBLIC WORKS DEPARTMENT/SOLID WASTE AND RECYCLING SERVICES RECOMMENDS APPROVAL

This item supports the Broward County Board of County Commissioners’ Value of “Encouraging investments in renewable energy, sustainable practices and environmental protection.”
 
Broward County owns and maintains three trash transfer stations for collection of bulk trash and yard waste from residents within municipalities who have executed interlocal agreements with the County. The trash transfer stations are located in the City of Pompano Beach, Town of Davie and the City of West Park. Waste Management, Inc. of Florida holds exclusive franchise agreements with the Town of Davie and the City of Pompano Beach under which no other waste hauler can provide solid waste collection services, and maintains a non-exclusive franchise agreement in the City of West Park.
 
On November 15, 2005 (Item No. 12), the Board of County Commissioners designated Waste Management, Inc. of Florida as the sole-source provider for Trash Transfer Station Services and authorized the Purchasing Director to negotiate an agreement.
 
On February 14, 2006 (Item No. 11), the Board of County Commissioners approved the agreement with Waste Management, Inc. of Florida to provide on-site personnel supervised by County staff to handle transport and disposal of the materials dropped off by residents (Exhibit 1). The agreement was contingent upon Waste Management, Inc. of Florida maintaining solid waste service franchise agreements with each of the three municipalities in which the residential drop-off centers are located.
 
On December 7, 2010 (Item No. 29), the Board of County Commissioners approved the First Amendment to the Agreement, extending the term for one year with two one-year renewal periods (Exhibit 2). No additional substantive changes were made to the agreement.
 
On December 3, 2013 (Item No. 29), the Board of County Commissioners approved the Second Amendment to the Agreement, extending the term for one year with four one-year renewal periods (Exhibit 3), and confirmed Waste Management, Inc. of Florida as a sole-source provider. No additional substantive changes were made to the agreement.
 
Currently, the Broward Municipal Services District and the following municipalities have executed interlocal agreements with Broward County to utilize the trash transfer stations for residential bulk trash and yard waste services: Dania Beach, Hallandale Beach, Hollywood, Margate, Oakland Park, Parkland, Pembroke Park, Weston and West Park. Approval of the Third Amendment to the Agreement (Exhibit 4), would continue these residential drop-off services and is contingent upon Waste Management, Inc. of Florida maintaining solid waste service franchise agreements with each of the three municipalities in which the residential drop-off centers are located.

The Third Amendment to the Agreement provides for a 5% increase to current contract rates to cover escalating industry costs, and henceforth, for Waste Management, Inc. of Florida to provide all necessary labor and equipment to expedite hauling, disposal and relocation of containers at the trash transfer stations to minimize delays to customers using the drop-off centers.
 
The Office of Economic and Small Business Development did not assign County Business Enterprise goals to this contract because services provided are limited by solid waste franchise agreements.
 
In September 2018, the Purchasing Division concurred that Waste Management, Inc. of Florida continues to be the sole-source provider because the services being provided are limited by solid waste franchise agreements.
 
The amendment has been reviewed and approved as to form by the Office of the County Attorney.
