MOTION TO APPROVE Seventh Amendment to the Signatory Terminal Building Lease Agreement between Broward County and Spirit Airlines, Inc., for reimbursement of expenses incurred from June 1, 2012 through March 31, 2020, for continued Airline Liaison Office consultant services, in the not-to-exceed amount of $609,390, increasing the total Agreement amount from $3,458,085 to $4,067,475; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
In accordance with the Broward County Procurement Code, Section 21.94.a., any changes, including amendments to agreements must be approved by the appropriate award authority, based on the amendment amount.

Amends the Agreement to reimburse Spirit Airlines, Inc. for expenses related to continued Airline Liaison Office consultant services through March 31, 2020, in support of the development and activation of the new Terminal 4, Concourse G and related projects.

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action will amend the Agreement to reimburse Spirit Airlines, Inc. ("Spirit") for expenses related to continued Airline Liaison Office ("ALO") consultant services through March 31, 2020.

On September 27, 2011 (Item No. 62, Motion B) the Board approved a Signatory Terminal Building Lease Agreement ("Signatory TBLA") between Broward County and Spirit to lease Type 1, 2, 3, and 4 Space for a total of 47,893 square feet in Terminal 4 ("T4"). The Agreement commenced on October 1, 2011, with an expiration on September 30, 2016. Exhibit 3 includes additional information on the Signatory TBLA history.

The ALO was established in 2012 to coordinate the operational and construction interests of all Signatory Airlines for the new T4 Gate Replacement project, consisting of Concourse G and related projects, at Broward County's Fort Lauderdale-Hollywood International Airport (“FLL”).

The T4 Gate Replacement project initially consisted of the T4 Western Expansion, T4 Eastern Expansion and the Apron Expansion. Since then, additional projects were added including the Checked Baggage Inspection System project and the Federal Inspection Services facility renovation and expansion projects. Construction associated with these projects is anticipated to be complete in late 2019. ALO consultant services are needed through March 31, 2020, to coordinate activities with the Airlines during the remaining construction phases, project closeout, and to ensure operational readiness of the projects.

Approval of the proposed Seventh Amendment provides reimbursement to Spirit for continued ALO consultant services through March 31, 2020, and increases the Agreement by $609,390, for a revised total Agreement amount of $4,067,475.

The proposed Seventh Amendment has been reviewed and approved as to form by the Office of the County Attorney.

The amounts referenced in this agenda have been rounded to the nearest whole dollar. Vendor payments will be based on the maximum amount payable under this Agreement. The Agreement Summary Sheet reflects the actual amount of the award.
