Requested Action
A. MOTION TO APPROVE Agreement between Broward County and USI Insurance Services National, Inc., for Employee Benefits Consulting Services, Request for Proposals (RFP) No. R2114673P1, for the Human Resources Division, in the total not-to-exceed amount of $797,500 for the initial three-year term, including up to $295,000 for optional services, and authorize the Director of Purchasing to renew this Agreement for two optional one-year periods, for a potential estimated total amount of $1,252,500, and authorize the Mayor and Clerk to execute same. The Agreement shall begin July 1, 2018 and end June 30, 2021.

B. MOTION TO TERMINATE FOR CONVENIENCE Agreement No. R1223430P1 between Broward County and USI Insurance Services National, Inc., for Employee Benefits Consulting Services, that was extended on a month-to-month basis through December 31, 2018 with the right to terminate upon the approval of a replacement Agreement for Employee Benefits Consulting Services.

Why Action is Necessary
Motion A. In accordance with the Broward County Procurement Code, Section 21.31.b.2, Board approval is required for all awards for professional services exceeding $100,000 per annum or $200,000 for a multi-year period.

Motion B. In accordance with the Broward County Procurement Code, Section 21.122, the termination of any contract or rescission of award must be made by the awarding authority.

Motion A. Provides for an agreement for Employee Benefits Consulting Services for the Human Resources Division.

Motion B. Provides for termination of the existing agreement with USI Insurance Services National, Inc. for Employee Benefits Consulting Services.

Summary Explanation/Background
THE PURCHASING DIVISION AND THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT/HUMAN RESOURCES DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTIONS.

The Office of Economic and Small Business Development (OESBD) determined that no County Business Enterprise (CBE) participation goals were applicable to this procurement (Exhibit 3).

The purpose of this agreement is to engage the services of a qualified firm to provide consulting services related to benefit plan solicitation, analysis, compliance, strategy and monthly review of claims through the use of a data warehouse that will be maintained by the firm.

On June 13, 2017 (Item No. 71), the Board approved Request for Proposals (RFP) No. R2114673P1, Employee Benefits Consulting Services. Three firms submitted proposals in response to the RFP.

On October 30, 2017, a Combination Initial and Final Evaluation Committee Meeting was held. The meeting was reconvened on November 6, 2017 to read into the record the corrections to the Evaluation Committee scores and ranking of the firms. USI Insurance Services National, Inc. (USI) remained the number one ranked firm.

On December 12, 2017 (Item No. 75), the Board approved the final ranking, as amended, allowing for an extension of the current contract on a month-to-month basis, and recognition that there would be an effort made by USI to reach a voluntary agreement for partnership with Gelin Benefits Group, LLC (Gelin).

On May 23, 2018, a single Sunshine Negotiation Meeting was held to negotiate the Agreement. The meeting was attended by representatives of USI, Gelin, the Human Resources Division, the Purchasing Division, and the County Attorney's Office. During the negotiation meeting, USI indicated the firm had come to terms on a voluntary agreement with Gelin, which Gelin also acknowledged.
