Requested Action
MOTION TO APPROVE First Amendment to the Agreement between Broward County and SunGard Availability Services LP, f/k/a Sungard Recovery Services LP, for IT disaster recovery resources and services, to extend the existing agreement for an additional two years through August 8, 2020, allowing the County to renew in accordance with the state contract extension, including three optional one-year renewals, to amend the total maximum compensation inclusive of the extended term, in the not-to-exceed amount of $2,000,000; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
Board approval is required for any contract extension beyond five years, in accordance with the Broward County Procurement Code, Section 21.43.

Summary Explanation/Background
THE ENTERPRISE TECHNOLOGY SERVICES DIVISION AND THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT/PURCHASING DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTION.

On February 5, 2013 (Item No. 41B), the Board authorized the Director of Purchasing to negotiate, approve and execute an agreement for IT Disaster Recovery Services utilizing the State Contract, and to renew in accordance with the State Contract to provide secure disaster recovery network connectivity, UNIX, and Windows Platforms and testing periods for disaster recovery services.

On May 29, 2013, the Director of Purchasing approved the Agreement for Information Technology (“IT”) Disaster Recovery Services, incorporating the terms of State Contract No. 991-268-11-1. The Agreement is currently scheduled to expire on August 8, 2018.

On September 5, 2013, the State Contract was amended by Amendment 1, for an assignment agreement between DSM.Net, assignor, and DSM Technology Consultants, LLC, assignee.

On August 1, 2015, the State Contract was amended by Amendment 2, which renewed the State Contract to expire on August 8, 2020. A Sunshine meeting was held on March 19, 2018 and included representatives from SunGard Availability Services LP, the Enterprise Technology Services Division, the Purchasing Division, and the County Attorney’s Office.

This First Amendment modifies the term of the Agreement to be coterminous with the State Contract, to conform to updated County security requirements, to increase the authority of the Director of Purchasing to execute Work Authorizations, and to amend the insurance requirements of the Contractor as outlined in Exhibit E to the Agreement.
