MOTION TO APPROVE Fourth Amendment to the Annual Support Agreement between Broward County and Micro Focus (US), Inc., Agreement No. A1072510A1, to extend the existing Agreement, which expires August 10, 2018, for up to five additional one-year renewal periods through August 10, 2023, if fully exercised, for maintenance and support of the CYBORG COBOL compiler, which is required to run the County’s existing Payroll, Human Resources and Position Control systems, as well as other human resources transactions, in the not-to-exceed amount of $206,930; and authorize the Mayor and Clerk to execute same.

Board approval is required for any contract extension beyond five years, in accordance with the Broward County Procurement Code, Section 21.43.

Summary Explanation/Background
THE ENTERPRISE TECHNOLOGY SERVICES DIVISION AND THE FINANCE AND ADMINISTRATIVE SERVICES DEPARTMENT/PURCHASING DIVISION RECOMMEND APPROVAL OF THE ABOVE MOTION.

This item supports the Board's Value of "[C]onsistently delivering responsive, efficient, quality services to the public and internal customers" and the corresponding goal to "[B]uild into every process and service effective checks and balances that do not cause inefficiency, but rather ensure consistency, continuity and quality." The Centralized Enterprise Resource Planning Solution offers to enhance County government operations by replacing old and outdated stand-alone systems that support manual, paper-based business processes, with new and improved systems that automate and integrate business processes and improve efficiency.

On August 3, 2009, the Director of Purchasing approved an End User License Agreement between Broward County and Micro Focus (US), Inc. to obtain licenses to certain software as well as related support services.

On August 10, 2012, the Director of Purchasing approved an Annual Support Agreement for Silver Support services between Broward County and Micro Focus (US), Inc. for the period commencing August 11, 2012.

On December 20, 2012, the Director of Purchasing approved a First Amendment to the Annual Support Agreement between Broward County and Micro Focus (US), Inc. to obtain support for additional licenses that the County acquired under the License Agreement.

On October 3, 2013, the Director of Purchasing approved a Second Amendment to the Annual Support Agreement between Broward County and Micro Focus (US), Inc. to allow the County to purchase support for yet more licenses.

On June 12, 2017, the Board approved the Third Amendment to the Agreement to extend the existing Micro Focus (US), Inc. Annual Support Agreement through August 10, 2018, for maintenance and support to the server that uses COBOL, which is a programming language to compile the application source code and maintain the County’s current support services and product upgrades. This software is required to run the County’s existing payroll, human resources and position control systems, as well as to process payroll and other human resources transactions.

Micro Focus (US), Inc. is the sole owner of the Micro Focus support programs. These support services will be invoiced quarterly in advance at a rate of $9,362 for a total not-to-exceed cost of $37,449 during the first extension period, and thereafter to include a yearly 5 percent increase as per the Agreement. The proposed Fourth Amendment also includes additional security provisions requested by the Enterprise Technology Services Division.

This Fourth Amendment to the Agreement was negotiated during two Sunshine meetings. The first Sunshine meeting was held on April 11, 2018 and included representatives from Micro Focus (US), Inc., the Enterprise Technology Services Division, the County Attorney's Office, and the Purchasing Division. The second Sunshine meeting was held on May 10, 2018 and included representatives from Micro Focus (US), Inc. and the Enterprise Technology Services Division.
