MOTION TO APPROVE Fourth Amendment to the Agreement between Broward County and Gresham, Smith and Partners, Agreement No. R0900601R1, Consultant Services for Terminal Modernization at Broward County's Fort Lauderdale-Hollywood International Airport, for additional scope, to extend the contract time to December 31, 2022, and to update certain Agreement language and Exhibits, for an increase in the not-to-exceed amount of $9,900,000, increasing the total Agreement from $25,700,000 to $35,600,000; and authorize the Mayor and Clerk to execute same.

Why Action is Necessary
In accordance with the Broward County Procurement Code, Section 21.94.a, any changes, including amendments to agreements must be approved by the appropriate award authority, based on the amendment amount.

Summary Explanation/Background
THE AVIATION DEPARTMENT RECOMMENDS APPROVAL OF THE ABOVE MOTION.

This action will amend the Agreement to provide funding for additional scope, to extend the contract time to December 31, 2022, and to update certain Agreement language and Exhibits, for the Terminal Modernization program at FLL.
 
This item supports the Board’s Value for "Ensuring economic opportunities for all people and businesses in Broward County," its Goal to "Increase the economic strength and impact of revenue-generating County enterprises balancing economic, environmental, and community needs" and its Objective to modernize all terminals at FLL.

The Office of Economic and Small Business Development established a County Business Enterprise ("CBE") goal of 20% for this project. Gresham, Smith and Partners ("GSP") committed to 20% CBE participation. To date, GSP has been paid $15,787,056 and has paid CBE firms $3,752,300, for 23.77% participation (Exhibit 3).

On January 31, 2012 (Item No. 21), the Board approved the award of the Agreement between Broward County and GSP for Terminal Modernizations at FLL, for professional architectural, engineering and construction administration services, in the maximum not-to-exceed amount of $14,000,000. See Exhibit 4 for additional Agreement History.

GSP is currently the consultant responsible for design and construction administration of the Terminal Modernization program at FLL. Current projects include the T2 Modernization project managed by Delta Air Lines Inc., the T3 Modernization project managed by JetBlue Airways Corporation, and the associated roadway and garage wayfinding signage project which impacts all terminals.

The proposed Fourth Amendment will provide funding for continued design services, construction administration, and inspection services throughout the duration of the projects. Work includes the new T2 and T3 bump out extensions to interface with the new terminal connectors between T1 and T2, and T2 and T3. In addition, GSP provides the design for the associated roadway and garage wayfinding signage project which will add over 4,100 signs throughout the airport campus, overhead roadway structures, the Cypress, Hibiscus and Palm garages, and the upper/lower curbside areas of the roadway adjacent to all four terminals. This signage project will also integrate dynamic overhead roadway signs with the Florida Department of Transportation roadway information program, to coordinate surrounding traffic and incident reports, and integrate with the existing parking system in the garages.

The proposed Fourth Amendment also updates Agreement language and Exhibits B, B-1, C, D and F. Changes include: Exhibit B updates Salary Costs to add two new subcontractors (Adhyaru Aviation Consultants, LLC and Arora Engineers, Inc) and reflect applicable annual increases in accordance with the Agreement, Article 5.2.4; Exhibit B-1 updates Key Staff; Exhibit C updates Subconsultant Participation; Exhibit D updates Reimbursable items and Exhibit F updates the work by terminal.

Approval of the Fourth Amendment increases basic services in the amount of $9,900,000, for a revised total Agreement amount of $35,600,000, and extends the contract time to December 31, 2022 (or the expiration of all warranty periods), to allow for completion of the projects.

The proposed Fourth Amendment has been reviewed and approved as to form by the Office of the County Attorney and the Risk Management Division.

The amounts referenced in this agenda have been rounded to the nearest whole dollar. Vendor payments will be based on the maximum amount payable under this Agreement. The Agreement Summary Sheet reflects the actual amount of the award.

Fiscal Impact/Cost Summary:
The projects associated with this proposed Fourth Amendment are budgeted as part of the Terminal Modernization, Terminal Connectors, and Wayfinding & Signage projects in Aviation’s FLL Capital Fund 40350 and PFC Capital Fund 40450.
