MOTION TO APPROVE AND ACCEPT terms stated in the May 14, 2018, letter issued by the attorney for International Atlantic, LLC, and The Graham Companies (collectively, the "Applicants") in connection with development of the American Dream Miami and The Graham Companies property (collectively, the "Projects").

Summary Explanation/Background
This item is being placed on the May 22, 2018, agenda as a supplemental item due to its time-sensitive nature. The Miami-Dade County Commission is scheduled to take action on certain land development-related applications at its meeting of May 17, 2018, requiring that any conceptual resolution be achieved prior thereto. The terms of the conceptual resolution, which are stated in the attached letter, are binding only if formally approved and accepted by the Board by May 25, 2018.

On May 8, 2018, the Board directed County staff and this Office to work with the Applicants and Miami-Dade County in an effort to implement commitments made by the Applicants' representatives at the special meeting of the South Florida Regional Planning Council on March 10, 2017, regarding the mitigation of traffic impacts of the Projects and the provision of transit service connections to and from Miami-Dade and Broward counties. Following extensive negotiations, the Applicants have agreed to the terms contained in the attached letter, which has been countersigned by the County Attorney to indicate that the terms accurately reflect the offer and good faith discussions. The terms offered in the letter are irrevocable through May 25, 2018. In consideration of extending this irrevocable offer, the County has committed not to seek a deferral of the applicable items on the Miami-Dade County Commission's May 17, 2018, meeting agenda, and has agreed not to object at or before that meeting to the development applications.

The County's Public Works, Transportation, and Environmental Protection and Growth Management Departments recommend approval of this item.

Fiscal Impact/Cost Summary:
The letter provides for Six Hundred Fifty Thousand Dollars ($650,000) to be paid to Broward County for specified transportation improvements, and for the provision of up to three (3) dedicated Broward County Transit bus bays.
