MOTION TO AUTHORIZE County Administrator to approve and execute Second Amendment to the agreement with TNT Promotions, Inc., d/b/a  Sharp Marketing (TNT), to extend the term through December 31, 2018, and providing for the maximum not to exceed amount of $300,000 for the nine-month extension, and authorizing the County Administrator to execute amendments, subject to approval of the same by the Office of the County Attorney; and authorizing the County Administrator to take all administrative and budgetary actions needed to execute the Agreement.

VOTE: 7-0.  Commissioner Holness appeared telephonically and voted in the affirmative.  Commissioners Geller and LaMarca appeared telephonically but were inaudible during the vote.
Why Action is Necessary
Board approval to authorize the County Administrator to approve and execute is required to amend an agreement in excess of the Purchasing Director's authority.
What Action Accomplishes
The Second Amendment extends the Agreement for nine months though December 31, 2018, allowing for the continuity of Broward County and the Greater Fort Lauderdale Convention and Visitors Bureau (GFLCVB)'s marketing and distribution of logo and apparel and merchandise contract.

Summary Explanation/Background
THE GREATER FORT LAUDERDALE CONVENTION AND VISITORS BUREAU RECOMMEND APPROVAL OF THE ABOVE MOTION.

The GFLCVB is requesting authorization for the County Administrator to approve and execute the Second Amendment to the Agreement between Broward County and TNT Promotions, Inc., d/b/a Sharp Marketing, to extend the term of the Agreement for a maximum of nine months, for the period April 1, 2018, through December 31, 2018.

The initial term of the Agreement was from February 12, 2013, through September 30, 2015. The agreement included two, one-year renewal options that have been exercised, with the final renewal option ending on September 30, 2017. 

On August 22, 2017, the Board approved the First Amendment, extending the Agreement for six months through March 31, 2018.

The Second Amendment covers the nine-month extension from April 1, 2018, through December 31, 2018, for the amount of $300,000. This amount increases the overall total contract value from $2,100,000 to $2,400,000.

This extension will allow for the continued manufacturing, purchasing, distribution, sales and marketing of logo on apparel and merchandise and management of the online store for Broward County agencies and the GFLCVB. It also allows for additional time to complete the Request for Proposal (RFP) process and negotiate and execute a new contract. The RFP's solicitation will be presented to the Board for review and approval.

Fiscal Impact/Cost Summary:
$150,000 will be funded by the Greater Fort Lauderdale Convention and Visitors Bureau Fund No. 11405-20801000-546020. For the remaining $150,000, each requirement processed against this Agreement will be funded by the appropriate source at the time of release.
