B. MOTION TO APPROVE Agreement between Broward County and West Safety Solutions Corp. for System and Services Agreement for equipment, software upgrade services, support, maintenance and optional services, in the total not-to-exceed amount of $10,796,775 for the duration of the Agreement, which includes a not-to-exceed amount of $839,400 for equipment, software, system and services, a not-to-exceed amount of $5,941,375 for maintenance and support services, a not-to-exceed amount of $3,800,000 for optional services over the life of the agreement, and a not-to-exceed amount of $216,000 for moves, additions and changes over the duration of the Agreement; and authorize the Mayor and Clerk to execute same. The Agreement will begin on the date of full execution and will end five years from the date of Final Acceptance.

Why Action is Necessary
A. and B. In accordance with the Broward County Procurement Code, Section 21.31.a.4, the Board is required to approve all purchases exceeding $250,000 per annum or $400,000 in a multi-year period. Also, in accordance with the Broward County Procurement Code, Section 21.43, a contract for suppliers or services of more than five years must have the express consent of the Board.
What Action Accomplishes
A. and B. Designates West Safety Solutions Corp. as the only reasonable source to maintain and support the County's existing Emergency 911 Call Processing System ("VIPER"), desktop operator work stations ("Power911"), and associated support systems; and provides optional services and maintenance services for the Office of Regional Communications and Technology.

Summary Explanation/Background

THE PURCHASING DIVISION AND THE OFFICE OF REGIONAL COMMUNICATIONS AND TECHNOLOGY RECOMMEND THE APPROVAL OF THE ABOVE MOTIONS.

On March 31, 2008, the Broward Sheriff's Office (BSO) and West Safety Solutions Corp. (formerly known as Positron Public Safety Systems Corp.), entered into a Sales, Software License and Maintenance Agreement to provide for certain goods and services related to the Emergency 911 (E911) emergency response system.

On October 13, 2010, Positron Public Safety Systems Corp. (Positron) changed its name to Intrado Systems Corp (Intrado).

On February 23, 2011, BSO and Positron entered into a First Amendment to the Agreement to modify all references to Positron to reflect its new name Intrado.

On May 7, 2013, BSO assigned its interests in the Sales, Software License and Maintenance Agreement to the County, effective October 1, 2012, through an Assignment, Delegation, and Release Agreement executed by the County, Intrado and BSO. The County and Intrado renewed the Sales, Software License and Maintenance Agreement for a four-year renewal term starting on June 1, 2013.

On June 17, 2013, the County and Intrado entered into a Second Amendment, which provided an additional $292,973 in optional services to support the regionalization of Public Safety Answering Points (PSAPs) to three locations: North, Central, and South Broward and increased the not-to-exceed amount in the Agreement to $8,272,398.

On April 13, 2016, Intrado changed its name to West Safety Solutions Corp. (West). On May 9, 2017 (Item No. 5), the Board approved the Third Amendment to the BSO Agreement. This amendment extended the term of the Agreement on a month-to-month basis through May 31, 2018, increased the not-to-exceed amount for on-site services to accommodate up to 12 additional months of maintenance services at the vendor's current rates, reallocated funds unexpended during previous projects for current projects, and updated the statutory Public Records requirements for the Agreement.

The current Agreement with West has been in place since 2008 using BSO's contract template and terms and conditions. Approving this Agreement would enable West to provide ongoing software and hardware upgrades, system enhancements for Next Generation 911 and operational improvements, and allow West to continue to provide dedicated services as the provider of ongoing maintenance, support services and on-site support services.

West is a leader in the public safety industry providing Customer Premise Communications Equipment for several counties throughout the State of Florida. West provides VIPER 911 call handling software and hardware for the Regional Consolidated System, as well as for the Public Safety Answering Points operated by the Cities of Coral Springs and Plantation.

A replacement in the current 911 premise communications equipment throughout Broward County would result into a substantial training effort for PSAP Operations and unnecessary costs, given the investment of over seven million dollars over the past nine years. In addition, by replacing all existing equipment, there would be significant delays in implementing key project currently in-flight and planned for the PSAP Operation.

Eleven Sunshine meetings were held: October 3, 11, 13, 17, 19, 23 and 25, 2017; November 1, 6, 15 and 16, 2017 to negotiate this Agreement. These meetings were attended by representatives from West, the Office of Regional Communications and Technology, Enterprise Technology Services Division, the Purchasing Division, and the County Attorney's Office.

Fiscal Impact
Fiscal Impact/Cost Summary:
The funding for the system upgrades and services, support, maintenance, onsite support services, and optional services associated with this Agreement is available through the State of Florida’s E911 Funds. There is no expected impact to the General Fund.
